Comprehensive Digital Marketing, Web Development, and Attorney Lead Generation Agreement

These Terms of Service (the “Agreement”) are entered into by and between Brilliant Ideas Consulting Inc., a Florida corporation, registered at 9702 SW 83rd Way, Gainesville, FL 32608, doing business as Digital Visibility Concepts(“DVC,” “we,” “us,” or “our”) and the individual or entity that accepts these terms (“Client,” “you,” or “your”).
BY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO ALL TERMS AND CONDITIONS OUTLINED HEREIN.
IMPORTANT: THIS AGREEMENT CONTAINS BINDING ARBITRATION PROVISIONS IN SECTION 13. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS.
1. DEFINITIONS
“Agreement” means these Terms of Service including all engagement agreements and addendums.
“Client Materials” means all content, images, text, logos, and other materials provided by Client for use in Services.
“Deliverables” means all work product created by DVC for Client, including websites, ad campaigns, lead data, and reports.
“Engagement Agreement” means specific service contracts referencing these Terms, including SEO Service Agreement, PPC Management Agreement, Lead Generation Agreement, Web Development Agreement, and others.
“Lead Intelligence Service” means attorney lead generation for probate, personal injury, and divorce practice areas.
“Monthly Recurring Services” means ongoing services billed monthly including SEO, PPC management, social media management, hosting, and lead generation subscriptions.
“Project-Based Services” means one-time services including web design, web development, and custom projects.
“Services” means all services provided by DVC across all service lines.
“Third-Party Platforms” means external services including Google Ads, Facebook Ads, hosting providers, and data sources.
“Work Product” means all deliverables, campaigns, websites, reports, strategies, and other materials created specifically for Client.
2. SCOPE OF SERVICES
2.1 Search Engine Optimization (SEO) Services
Services Include:
- Initial website SEO audit and analysis
- Keyword research and strategy development
- On-page optimization (title tags, meta descriptions, headers, content)
- Technical SEO improvements (site speed, mobile optimization, schema markup)
- Content creation and optimization
- Link building and backlink acquisition
- Local SEO optimization (Google Business Profile, citations, local listings)
- Monthly progress reports and analytics
- Competitor analysis and monitoring
- Ongoing algorithm update adjustments
- Search Console and Analytics monitoring
Client Understanding:
- SEO results take 3-6 months to materialize significantly
- Rankings fluctuate due to algorithm changes beyond DVC’s control
- Competitors’ actions affect rankings
- Google penalties may occur if Client has prior black-hat SEO
- Rankings are not guaranteed for specific keywords or timeframes
- Organic search results depend on numerous external factors
- Content quality and website authority accumulate over time
SEO Service Exclusions:
- Content writing beyond contracted hours (additional fees apply)
- Major website redesigns or structural changes (quoted separately)
- E-commerce functionality (separate engagement)
- PPC advertising (separate service line)
- Social media management (separate service line)
2.2 Pay-Per-Click (PPC) Management Services
Services Include:
- Google Ads account setup and optimization
- Campaign strategy and structure development
- Keyword research and selection
- Ad copywriting and testing (headlines, descriptions, extensions)
- Landing page recommendations and A/B testing
- Bid management and budget optimization
- Negative keyword identification and implementation
- Conversion tracking setup and monitoring
- Geographic and demographic targeting
- Ad schedule optimization
- Monthly performance reports and analysis
- Competitor analysis
- Remarketing campaign setup and management
- Google Analytics integration
- Call tracking integration (if contracted)
Client Understanding:
- Management fees are separate from ad spend
- Client pays Google/Facebook directly for ad costs
- Minimum ad spend requirements apply (typically

Management Fee Structure:
- Percentage of ad spend (typically 15-20%)

2.3 Social Media Management Services
Services Include:
- Social media strategy development
- Content calendar creation and planning
- Post creation and scheduling (graphics, captions, hashtags)
- Community management and engagement (responding to comments/messages)
- Profile optimization and branding
- Hashtag research and strategy
- Competitor analysis
- Monthly analytics and reporting
- Social media advertising coordination (if contracted)

Client Understanding:
- Follower growth depends on content quality, consistency, and paid promotion
- Engagement rates vary by industry and audience
- Viral content cannot be guaranteed
- Platform algorithm changes affect reach and engagement
- Client must provide brand guidelines, product images, and content direction
- Response time for community management during business hours only
- Crisis management and PR issues may require additional consultation
Service Exclusions:
- Professional photography or videography (arranged separately)
- Influencer partnerships (coordinated but costs separate)
- Social media advertising spend (managed under PPC services)
- 24/7 community management (business hours only unless contracted)

- Testing & QA (1-2 weeks): Cross-browser testing, mobile testing, bug fixes
- Launch (1 week): Deployment, DNS configuration, final checks
- Post-Launch Support (30 days): Bug fixes, minor adjustments

2.5 Dedicated Hosting and Maintenance Services
Hosting Services Include:
- Dedicated server or cloud hosting (AWS, DigitalOcean, or similar)
- Domain name management and DNS configuration
- SSL certificate installation and renewal
- Email hosting and configuration
- Daily automated backups with 30-day retention
- 99.9% uptime guarantee
- DDoS protection and firewall security
- Malware scanning and removal
- WordPress core updates and security patches
- Plugin and theme updates
- Database optimization
- Server performance monitoring
- 24/7 server monitoring with alerts
- Emergency support for critical outages
Maintenance Services Include:

- Third-party software licenses (premium plugins, themes) are Client’s expense

Uptime Guarantee:
- 99.9% uptime guarantee (allows 43 minutes downtime per month)
- Excludes scheduled maintenance windows
- Excludes downtime caused by Client actions or third-party services
- Excludes force majeure events beyond DVC’s control
- Service credits available for verified extended outages
2.6 Attorney Lead Intelligence Service
Service Overview:
DVC provides exclusive, fresh legal leads to attorneys in three practice areas: Probate, Personal Injury, and Divorce. Leads are generated through proprietary obituary scraping (probate), accident report monitoring (personal injury), and court filing scraping (divorce).
2.6.1 Probate Lead Generation
Services Include:
- Daily obituary monitoring across Client’s contracted county/counties
- Death identification within 24-48 hours of obituary publication
- Estate asset research (property records, business ownership, estimated values)
- Family contact skip-tracing (surviving spouse, children, phone numbers, addresses)
- Lead scoring and qualification (estate value, contact availability, complexity)
- Daily lead delivery via secure portal and email (by 10 AM EST)
- Exclusive territory protection (one attorney per rotation slot)
- Lead data includes:
- Decedent’s full name, age, date of death, county
- Surviving spouse and children names and contact information
- Property addresses and estimated market values
- Business ownership information
- Total estate value estimate (

- Small County: $1,297/month (30-50 exclusive leads/month, max 3 attorneys)
- Medium County: $1,497/month (50-60 exclusive leads/month, max 6 attorneys)
- Large County: $1,797/month (45-55 exclusive leads/month, max 12 attorneys)
- Major Metro: $2,197/month (47-53 exclusive leads/month, max 18 attorneys)
Client Understanding:
- Leads are time-sensitive and require prompt follow-up
- Conversion rates depend on Client’s follow-up process and consultation skills
- DVC provides lead intelligence, not legal referrals
- Estate values are estimates based on public records (typically within 20% of actual)
- Contact information accuracy guaranteed at 95%+
- Some families may not respond or may have already engaged counsel (rare)
- Respectful contact timing recommended (7-10 days post-death)
- Client responsible for all legal representation and services
- DVC makes no representations regarding case outcomes or legal matters
2.6.2 Personal Injury Lead Generation
Services Include:
- Daily accident report monitoring from law enforcement sources
- Injury identification within 24-48 hours of report filing
- Accident details research (type, severity, vehicles involved, injuries)
- Victim contact skip-tracing (names, phone numbers, addresses)
- Lead scoring and qualification (injury severity, liability clarity, damages estimate)
- Daily lead delivery via secure portal and email
- Exclusive territory protection (one attorney per rotation slot)
- Lead data includes:
- Victim’s full name and contact information
- Date and location of accident
- Accident type (auto, motorcycle, truck, pedestrian, slip-and-fall)
- Injury severity indicators
- Police report number
- At-fault party information (when available)
- Insurance information (when available)
- Estimated case value indicators
Pricing: Similar tier structure to probate (2,197/month depending on county size)
Client Understanding:
- Leads are time-sensitive (contact within 24-48 hours recommended)
- Competitor attorneys also working accident reports
- DVC provides first-notice advantage through rapid delivery
- Case viability depends on liability, injuries, and insurance coverage
- Not all accident victims pursue legal representation
- Client responsible for legal evaluation and case acceptance
- DVC makes no representations regarding case merit or outcomes
2.6.3 Divorce Lead Generation
Services Include:
- Daily court filing monitoring for dissolution of marriage petitions
- Filing identification within 24-48 hours of court filing
- Party contact skip-tracing (petitioner and respondent when applicable)
- Lead scoring and qualification (contested vs. uncontested, assets, children)

- Exclusive territory protection (one attorney per rotation slot)

- Party names and contact information

- Children involved (yes/no, number)

Client Understanding:

- DVC makes no representations regarding case merit or outcomes
2.6.4 Lead Service General Terms
Subscription Terms:
- Month-to-month subscriptions (no long-term contracts)
- 30-day cancellation notice required
- Territory slot reserved during active subscription
- Pause option available (territory slot remains reserved)
Lead Quality Guarantee:
- 95%+ accuracy on contact information
- Estate/case values within 20% of actual (where estimated)
- Verified incorrect leads credited to Client account
- Freshness guarantee: All leads delivered within 48 hours of source data
Multi-County Coverage:
- Client may subscribe to multiple counties
- Each county priced individually (no volume discounts)
- Exclusivity maintained per county/territory
Service Limitations:
- DVC provides lead intelligence only, not legal services or referrals
- DVC not responsible for Client’s conversion rates or case outcomes
- Lead volume varies based on actual death/accident/filing rates in county
- No guarantee of specific lead volume or quality in any given month
- Competitor attorneys may also contact families (except on exclusive leads)
- Platform changes or data source disruptions may temporarily affect delivery
2.7 Direct Mail Services

- Mail tracking and delivery confirmation

One-Time Setup Fee: $597 (includes letterhead design, template creation, signature digitization, testing)
Monthly Service Fee: $297 (platform access, automation, support, reporting)
Per-Letter Mailing Cost:
- 1-100 letters: $4.97 per letter
- 101-250 letters: $4.47 per letter
- 251-500 letters: $4.17 per letter
- 501+ letters: $3.97 per letter
Client Controls:
- Which leads receive letters (HOT only, WARM+HOT, all qualified)

- Timing (day 3, day 7, day 10, day 14, custom schedule)
- Pause/resume anytime

Client Understanding:

- Undeliverable mail not refunded but tracked for skip-trace improvement
- Client responsible for letter content compliance with bar rules and regulations
- DVC not responsible for legal or ethical compliance of mailings
2.8 Additional Services
As Contracted:

- Email marketing campaign design and management
- Video production coordination and editing
- Logo design and brand identity development
- Copywriting and content creation
- Conversion rate optimization (CRO)
- Marketing automation setup and management
- Analytics consulting and strategy
- Competitor analysis and market research

2.9 Service Standards and Disclaimers
DVC WILL:
- Use commercially reasonable efforts to provide quality services
- Apply industry-standard methodologies and best practices
- Maintain professional competence and certifications
- Communicate material issues and progress reports promptly
- Provide reasonable client support during business hours
- Adhere to platform policies and terms of service (Google, Facebook, etc.)
DVC DOES NOT GUARANTEE:
- Specific rankings, traffic, leads, or conversions
- Specific ROI or revenue increases
- Immunity from search engine algorithm changes
- Immunity from ad platform policy changes
- Third-party platform uptime or availability
- Lead conversion rates or case signings
- Specific search engine ranking positions
- Specific ad click costs or impression volumes
- Viral social media content or follower growth
- Website performance on Client’s specific hardware or networks
- Compatibility with all future browser versions or devices
- Protection from all cybersecurity threats or hacking attempts
2.10 Third-Party Platform Dependencies
Client Acknowledges:
- Services depend on third-party platforms beyond DVC’s control
- Google, Facebook, Microsoft, and other platforms may change policies, algorithms, or pricing
- Platform account suspensions or terminations may occur for policy violations
- Platform API changes may temporarily disrupt integrations
- Platform outages affect service delivery temporarily
- DVC will use reasonable efforts to adapt to platform changes
- Major platform changes may require strategy adjustments or additional work
3. CLIENT OBLIGATIONS
3.1 General Obligations – ALL SERVICES
Client SHALL:
- Provide complete, accurate, and timely information and materials
- Submit requested content, images, and assets within specified deadlines
- Execute all required authorizations and access grants
- Pay all fees when due according to Engagement Agreement
- Cooperate fully and promptly with DVC
- Review deliverables and provide timely feedback (within 5 business days)
- Notify DVC immediately of any material changes affecting services
- Maintain all necessary licenses, permits, and legal compliance
- Comply with all applicable laws, regulations, and platform policies
- Provide access to necessary accounts and systems (with appropriate permissions)
Client WARRANTS:
- All information provided is true, accurate, and complete
- Client has authority to enter this Agreement
- Client has rights to all materials provided to DVC (no infringement)
- No third-party rights are violated by Client’s engagement
- Client will use DVC services for lawful purposes only
- Client is not subject to bankruptcy or insolvency proceedings (unless disclosed)
- All Client Materials are original or properly licensed
- Client will not engage in fraudulent, deceptive, or illegal marketing practices
3.2 SEO Services Specific Obligations
Client MUST:
- Provide website access (admin credentials or FTP/cPanel)
- Grant Google Search Console and Analytics access to DVC
- Approve recommended technical changes and implementations
- Provide or approve content for optimization and creation
- Not make SEO-impacting website changes without DVC consultation
- Maintain website functionality and hosting uptime
- Avoid black-hat SEO tactics that could result in penalties
- Disclose any prior SEO work or penalties received
Content Requirements:
- Approve new content within 5 business days
- Provide product/service information for content creation
- Review and approve keyword targeting strategies
- Maintain blog posting schedule if contracted
3.3 PPC Services Specific Obligations
Client MUST:
- Maintain sufficient ad budget for contracted platforms
- Provide payment method directly to Google/Facebook/Microsoft
- Grant DVC admin or manager access to ad accounts
- Approve ad copy and landing page strategies
- Maintain landing page functionality and load speed
- Comply with all platform advertising policies
- Respond to ad disapproval issues promptly
- Provide conversion tracking access (website analytics, CRM)
- Fund ad accounts sufficiently to prevent campaign disruptions
Budget Requirements:
- Maintain minimum monthly ad spend per contracted agreement
- Pay ad platforms directly (Google, Facebook, etc.)
- Keep payment methods current and funded
- Notify DVC immediately of budget changes or constraints
CRITICAL – Platform Compliance:
- Client solely responsible for advertising content compliance
- Client responsible for claims made in ads and landing pages
- Client responsible for FTC, FDA, and industry-specific regulations
- DVC will flag potential compliance issues but Client has final responsibility
- Ad account suspensions due to policy violations are Client’s responsibility
3.4 Social Media Management Specific Obligations
Client MUST:
- Grant DVC admin or content creator access to social accounts
- Provide brand guidelines, logos, and visual assets
- Provide product images and content materials
- Approve content calendars within 3 business days
- Respond to community management escalations within 24 hours
- Disclose any brand crises or PR issues immediately
- Maintain account ownership and credentials
- Not make unauthorized posts outside agreed content calendar
Content Approval Process:
- Monthly content calendars provided for review
- Client has 3 business days to request revisions
- Silence after 3 days = tacit approval to proceed
- Urgent posts may be published without prior approval (breaking news, time-sensitive promotions)
3.5 Web Design/Development Specific Obligations
Client MUST:
- Provide all content, text, images, and materials per project timeline
- Provide brand guidelines, logos, and existing marketing materials
- Designate single point of contact for project decisions
- Provide timely feedback on design mockups (within 5 business days)
- Approve designs before development phase begins
- Provide access to existing hosting/domain (if migration)
- Purchase domain names and hosting per DVC recommendations
- Pay third-party costs (stock photos, fonts, plugins, licenses)
- Test website thoroughly during QA phase
- Provide final sign-off before launch
Design Revision Process:
- Contracted revision rounds (typically 2-3) included in project fee
- Minor changes during revisions allowed
- Major scope changes may require additional fees
- Revisions requested after development begins may incur additional charges
- Additional revision rounds beyond contracted amount billed hourly
Timeline Compliance:
- Delays caused by Client extend project timeline proportionally
- Missed milestone deadlines by Client delay entire project
- Projects on hold due to Client non-responsiveness may be terminated after 60 days
- DVC not responsible for missing launch deadlines caused by Client delays
3.6 Hosting and Maintenance Specific Obligations
Client MUST:
- Maintain current payment method for recurring charges
- Not exceed contracted bandwidth or storage limits
- Not upload illegal, malicious, or infringing content
- Purchase licenses for any premium plugins or themes (unless included)
- Notify DVC immediately of any website issues or errors
- Provide content changes within contracted maintenance hours
- Request maintenance tasks clearly and with adequate notice
- Maintain email accounts and monitor for important notifications
- Backup critical data independently (despite DVC backups)
Maintenance Hour Limits:
- Content updates limited to contracted monthly hours
- Overage hours billed at hourly rate ($150/hour)
- Major redesigns or functionality changes not included (quoted separately)
- Emergency fixes outside business hours may incur additional fees
3.7 Lead Intelligence Service Specific Obligations
Client MUST:
- Maintain active, good standing bar license
- Comply with all legal and ethical rules regarding client solicitation
- Not engage in fraudulent, deceptive, or unethical practices
- Maintain professional liability insurance
- Review leads daily and follow up promptly (7-10 days recommended for probate)
- Not share or resell leads to other attorneys
- Track conversion data if requested by DVC
- Maintain territory subscription to retain exclusivity
- Notify DVC immediately of lead quality issues for credit consideration
Legal Compliance:
- Client solely responsible for bar rules and ethical compliance
- Client responsible for determining appropriate contact methods and timing
- Client responsible for honoring attorney-client privilege and confidentiality
- Client responsible for conflict checks and case acceptance decisions
- DVC provides lead intelligence, not legal advice or referrals
Lead Follow-Up Best Practices:

- Client will NOT share strategies with competitors or other marketing agencies
- Client will NOT attempt to replicate DVC systems independently
- Client will NOT reverse engineer or attempt to discover proprietary methods
- Violation may result in immediate termination and damages claim
- Liquidated damages of $25,000 per occurrence for unauthorized disclosure of trade secrets
3.11 Hold Harmless Provision
Client holds DVC harmless from ALL claims arising from:

- Some families may not respond or may have already hired counsel
- Estate values are estimates and may vary from actual
- Market factors affect conversion rates (economic conditions, competition)
- DVC provides lead intelligence only, not legal services or referrals
- Conversion rates depend on attorney follow-up, skills, and market position
7.9 Reliance on Client Information
DVC Entitled to Rely on:
- Accuracy and completeness of all Client information and materials
- Truth of all Client representations
- Authenticity of documents and content provided
- Client’s authority to provide information and materials
- Client’s legal right to use all Client Materials
- Client’s compliance with laws and platform policies
DVC Not Required to:
- Verify accuracy of Client information or claims
- Perform legal compliance review (Client’s responsibility)
- Investigate potential infringement of Client Materials
- Confirm Client has proper licenses or rights
- Question Client’s honesty or integrity (absent red flags)
8. LIMITATION OF LIABILITY
8.1 Maximum Liability Cap
DVC’S MAXIMUM AGGREGATE LIABILITY:
Limited to LESSER of:
- Total fees paid by Client in preceding 3 months for specific service causing claim, OR
- $10,000
Cap Applies to:
- All claims regardless of legal theory (contract, tort, negligence, etc.)
- All claims arising from or related to this Agreement
- All claims by Client, Client’s customers, or third parties
- Claims for any type of damages
- Multiple claims aggregated together
- Claims across all service lines combined
Exceptions to Cap:
- Claims arising from DVC’s gross negligence or willful misconduct
- Claims for DVC’s breach of confidentiality obligations
- Claims arising from DVC’s fraud or intentional misrepresentation
- Claims that cannot be limited under applicable law
8.2 Excluded Damages – No Consequential Damages
DVC NOT LIABLE FOR:
- Indirect or consequential damages
- Lost profits or revenue (Client’s business impact)
- Lost business opportunities
- Loss of goodwill or reputation
- Lost data (except as recoverable from backups)
- Business interruption losses
- Cost of substitute services
- Punitive or exemplary damages
- Lost rankings due to algorithm updates
- Lost ad spend due to platform issues
- Lost leads due to website downtime
- Lost cases due to lead follow-up timing
- Attorney advertising violations or ethical complaints
- Client’s legal malpractice or professional liability claims
Even If:
- DVC has been advised of possibility of such damages
- Such damages are reasonably foreseeable
- Exclusive remedy fails of its essential purpose
8.3 Allocation of Risk
Client Acknowledges:
- These limitations reflect agreed allocation of risk
- Fees are set based on these limitations
- DVC would not provide services without these protections
- Client has opportunity to purchase additional insurance
- Client may obtain insurance for covered risks (business interruption, cyber liability, E&O)
8.4 Client Indemnification of DVC
Client Agrees to Indemnify, Defend, and Hold Harmless:
- Brilliant Ideas Consulting Inc. d.b.a. Digital Visibility Concepts
- Its owners, officers, directors, employees, contractors, and agents
From All Claims Arising From:
- Inaccurate, incomplete, or false information provided by Client
- Client’s material breach of this Agreement
- Client’s violation of laws, regulations, or platform policies
- Client’s advertising content, claims, or representations
- Infringement of third-party intellectual property by Client Materials
- Client’s business practices or service delivery to Client’s customers
- Lead follow-up practices and legal representation (attorney clients)
- Attorney advertising violations or ethical complaints related to Client’s content
- Client’s failure to follow DVC recommendations or advice
- Client’s decisions regarding campaigns, budgets, or strategies
- Client’s illegal activities, fraudulent conduct, or unethical practices
- Third-party claims related to Client’s website, ads, or marketing
- Client’s breach of confidentiality or intellectual property rights
- Search engine penalties due to Client’s prior black-hat SEO
- Ad platform account suspensions due to Client policy violations
Indemnification Includes:
- Attorney fees and legal costs (including appellate and collection costs)
- Court costs and filing fees
- Expert witness fees
- Settlement costs and judgments
- Costs of investigation and defense
- DVC’s time and expenses in responding to claims
Defense Cooperation:
- Client will cooperate fully in defense of claims
- Client will not settle claims without DVC consent
- DVC may participate in defense at its own expense
- DVC may assume defense at its discretion
- Client will not make admissions without DVC consent
8.5 Service-Specific Liability Limitations
SEO Services:
- DVC not liable for ranking drops due to algorithm updates
- DVC not liable for Google penalties for Client’s prior SEO activities
- DVC not liable for competitor actions affecting rankings
- DVC not liable for traffic loss due to market or seasonal factors
PPC Services:
- DVC not liable for ad spend wasted due to platform issues or outages
- DVC not liable for account suspensions or policy violations (Client’s responsibility to comply)
- DVC not liable for click fraud or invalid traffic
- DVC not liable for conversion failures due to Client’s website or sales process
Website and Hosting:
- DVC not liable for data loss if Client fails to maintain independent backups
- DVC not liable for hacking or security breaches beyond DVC’s reasonable control
- DVC not liable for third-party plugin vulnerabilities
- DVC not liable for website downtime due to force majeure events
Lead Generation:
- DVC not liable for lead conversion failures or case losses
- DVC not liable for attorney ethical violations or malpractice
- DVC not liable for inaccurate contact information from public data sources
- DVC not liable for families who have already hired counsel
8.6 Force Majeure
DVC Not Liable for Failures Due to:
- Acts of God (earthquakes, floods, fires)
- War, terrorism, or civil unrest

- Power outages or utility failures
- Pandemics or public health emergencies
- Strikes or labor disputes

- Cybersecurity attacks on third-party infrastructure
9. TERM AND TERMINATION
9.1 Agreement Term

- For duration specified in Engagement Agreement
- Until services are completed (project-based services)

- For recurring services: Month-to-month or per contracted term

- Typically 6-12 month initial term (recommended for results)
- Month-to-month after initial term
- 30 days’ notice required to terminate
PPC Management:
- Typically month-to-month
- 30 days’ notice required to terminate
- Client retains ad account ownership
Social Media Management:
- Month-to-month or 3-12 month contracts
- 30 days’ notice required to terminate
Web Development Projects:
- Project-based engagement
- Continues until project completion and final payment
- Client may cancel per Section 9.5
Hosting and Maintenance:
- Month-to-month or annual contracts
- 30 days’ notice required to terminate month-to-month
- Annual contracts auto-renew unless 30-day notice given
Lead Intelligence Services:
- Month-to-month subscriptions
- 30 days’ notice required to terminate
- Territory slot released 30 days after termination effective date
9.3 Client Right to Terminate

- Recurring services: 30 days’ written notice required
- Notice must be sent to: cancellations@digitalvisibilityconcepts.com
- Notice must include Client name, account details, and desired termination date
- Termination effective on next billing cycle after 30-day notice period
- Fees due through effective termination date (no pro-rata refunds)
Project-Based Service Cancellation:
- Client may cancel before work begins: Refund minus 10% administrative fee
- Cancellation after work begins: See Section 9.5
Early Termination of Contracted Terms:
- Client may request early termination of multi-month contracts
- DVC may require payment of remaining contracted amount (at DVC’s discretion)
- Or DVC may release Client with completed work paid to date
9.4 DVC Termination for Cause
DVC May Terminate Immediately for:
- Non-payment of fees when due
- Material breach of this Agreement
- Client’s provision of false or misleading information
- Client’s infringement of third-party intellectual property
- Client’s violation of platform terms of service or policies
- Client’s illegal or unethical conduct
- Client’s persistent non-cooperation or non-responsiveness
- Excessive risk to DVC professional reputation
- Conflict of interest that cannot be resolved
- Client’s abusive or threatening behavior toward DVC personnel
- Client’s breach of confidentiality or IP rights
- Repeated chargebacks or payment disputes without valid cause
Platform Violation Grounds:
- Client’s Google Ads account suspended for policy violations
- Client’s Facebook/Instagram account disabled
- Client’s website violates search engine guidelines
- Client requests black-hat or prohibited tactics
9.5 Effect of Termination
Upon Termination by Either Party:
Financial Obligations:
- All fees through termination date remain due immediately
- All outstanding invoices due within 10 days
- For projects: Payment for completed work and milestones due
- No refund for any prepaid services or fees (except as required by law)
- Collection costs added if not paid timely
Service Cessation:
- All services stop on effective termination date
- No obligation to complete work-in-progress (unless paid in full)
- Scheduled reports and meetings cancelled
- System and account access may be revoked
- Client removed from systems and communications
SEO-Specific:
- Link building activities cease immediately
- Content publication stops
- SEO monitoring and reporting cease
- Rankings may decline after service termination (natural)
PPC-Specific:
- DVC relinquishes ad account access
- Client retains full ownership and control of ad accounts
- Historical data and campaign structure remain in Client’s account
- Client responsible for campaign management going forward
- DVC may export final reports before access removal
Social Media-Specific:
- Scheduled posts may be cancelled (unless prepaid/pre-scheduled)
- Client retains ownership of social media accounts
- DVC relinquishes admin access
- Content calendar and scheduled content may be lost
Website/Hosting-Specific:
- For completed projects with full payment: Client receives all files and access
- For unpaid projects: DVC retains all work product and may take down site
- For hosting termination: 30-day grace period to migrate (after final payment)
- DVC will provide website backup and database export after final payment
- DVC will assist with migration for reasonable fee if requested
- Website taken offline after grace period if not migrated
Lead Generation-Specific:
- Lead delivery stops immediately on termination date
- Client retains all leads delivered prior to termination
- Territory slot released to waitlist 30 days after termination
- Client may not re-subscribe if territory has been filled
- Direct mail automation disabled
- Access to lead portal revoked
Work Product and Materials:
- DVC retains all work product until full payment received
- Upon full payment, Client receives:
- Website files (HTML, CSS, JavaScript, PHP)
- Database backup and export
- Design files (PSDs, AI files, source files)
- Ad campaign reports and historical data exports
- Social media content calendar and assets
- SEO reports and analytics data
- Lead data delivered during active service
- DVC does NOT provide:
- Source code for proprietary systems or algorithms
- Internal notes or strategy documents
- DVC proprietary methodologies or frameworks
- Access to DVC tools or software platforms
- Future updates or support
Return of Materials:
- Client must return or destroy all DVC proprietary materials within 10 days
- Includes strategy documents, training materials, templates
- Includes any confidential DVC information
- Failure to return may result in additional charges
Transition Assistance:
- DVC may provide transition assistance for reasonable fee
- May include: consultation with new agency, migration support, knowledge transfer
- Quoted on case-by-case basis
- Not included in standard termination
9.6 Survival of Terms
The Following Provisions Survive Termination:

- Intellectual property rights (perpetual)

- Remove any references to active DVC partnership from marketing materials
- Update website footer/credits if DVC branding included
DVC Obligations After Termination:
- Maintain confidentiality of Client information
- Provide paid-for deliverables upon full payment
- Provide website files and backups after hosting termination (if paid)
- Provide final reports and analytics data
- Return Client’s original materials (if held)
- Retain records per professional standards (7 years)
10. COMMUNICATION PREFERENCES AND CONSENT
10.1 Consent to Communications
By accepting these Terms, Client consents to receive communications from DVC via:
- Telephone (including mobile phone)
- Text messages (SMS/MMS)
- Video conferencing platforms (Zoom, Google Meet, etc.)
- Project management tools (Asana, Trello, ClickUp, etc.)
- Instant messaging (Slack, if applicable)
Types of Communications:
Essential Service Communications:
- Project updates and milestone notifications
- Campaign performance alerts and urgent issues
- Website downtime or security alerts
- Payment confirmations and receipts
- Payment reminders and past due notices
- Account access issues or password resets
- System maintenance and scheduled downtime notices
- Lead delivery notifications (for Lead Intelligence clients)
Administrative Communications:
- Meeting confirmations and reminders
- Engagement Agreement documents and renewals
- Policy updates and Terms of Service changes
- Monthly reports and analytics
- Satisfaction surveys and feedback requests
Marketing Communications (Separate Opt-In):
- DVC promotional offers and service announcements
- Educational content and marketing tips
- Webinar and training event invitations
- Newsletter and blog updates
- Case studies and industry insights
10.2 Opt-Out Rights

Client CANNOT Opt-Out of:
- Essential service and payment communications

Client Responsibilities:
- Maintain current contact information
- Check email and project management tools regularly
- Respond to time-sensitive requests within 2-3 business days
- Mark urgent issues clearly in communications
- Notify DVC of communication delivery failures
10.4 Business Hours
DVC Business Hours:
- Monday-Friday: 9:00 AM – 6:00 PM EST
- Closed: Weekends and major U.S. holidays
- Emergency support available for critical issues (Enterprise hosting clients)
After-Hours Support:
- Available for Enterprise hosting clients only
- Emergency issues only (website down, security breach)
- Additional fees may apply: $200/hour (1-hour minimum)
- Non-emergency issues handled next business day
11. DISPUTE RESOLUTION AND ARBITRATION
11.1 Mandatory Binding Arbitration
ALL DISPUTES SUBJECT TO BINDING ARBITRATION:

- Any claim arising from or related to this Agreement
- Any claim related to services provided by DVC
- Fee disputes and payment controversies
- Alleged breach of contract or professional duty
- Claims of negligence or poor service quality
- Intellectual property disputes
- Confidentiality breaches
- Website defects or functionality issues
- Ranking drops or campaign performance disputes
- Lead quality or volume disputes
- Any other dispute between the parties
Exceptions (May Pursue in Court):
- Claims for injunctive relief (temporary restraining orders, preliminary injunctions)
- Claims for specific performance
- Intellectual property infringement requiring immediate relief
- Fee collection actions below arbitration minimum ($5,000)
- Small claims court matters within jurisdictional limit

- Or mutually agreed alternative location
- May be conducted remotely if agreed by parties
Arbitrator Selection:
- Single neutral arbitrator
- Selected per JAMS rules
- Must be attorney with 10+ years’ experience
- Preference for arbitrators with digital marketing or technology experience
Arbitration Process:
- Informal discovery permitted
- Limited document production
- Depositions only if necessary and approved
- Live hearing with testimony (or written submission if agreed)
- Written decision with findings
- Award enforceable in any court of competent jurisdiction
Costs and Fees:
- Each party pays own attorney fees (unless prevailing party provision applies)
- Arbitration fees split equally between parties
- DVC will advance Client’s share if Client demonstrates financial hardship
- Prevailing party entitled to attorney fees per Section 11.6

11.4 Class Action and Jury Trial Waiver
CLIENT EXPRESSLY WAIVES:
- Right to participate in class action lawsuits
- Right to participate in class arbitrations
- Right to participate in representative actions
- Right to act as private attorney general
- Right to consolidate claims with other clients
- Right to jury trial on any matter
Individual Arbitrations Only:
- Each Client must arbitrate individually
- No consolidation with other Client arbitrations
- Arbitrator may not consolidate multiple cases
- Arbitrator may not preside over any class or representative proceeding
If Class Action Waiver Unenforceable:
- Arbitration provision is severable
- Class action must be filed in court (not arbitration)
- Individual arbitration provision remains for other claims
11.5 Governing Law and Jurisdiction
Governing Law:
- Florida law governs this Agreement
- Without regard to Florida’s conflict of law provisions

- Federal law may apply to specific claims (DMCA, CAN-SPAM, TCPA, etc.)
Jurisdiction (If Not Arbitrated):
- Exclusive jurisdiction in state and federal courts in Alachua County, Florida
- Client consents to personal jurisdiction in Florida
- Client waives any objection to venue or inconvenient forum
- Florida courts may enforce arbitration awards
11.6 Attorney Fees and Costs
Prevailing Party Entitled to:
- Reasonable attorney fees and legal costs
- Expert witness fees
- Court costs and filing fees
- Arbitration fees and costs
- Appellate attorney fees (if applicable)
- Collection costs and fees
- Costs of enforcing judgment or award
Prevailing Party Definition:
- Party obtaining substantially the relief sought
- Determined by arbitrator or court
- May be allocated proportionally if mixed results
11.7 Limitation Period for Claims
ALL CLAIMS MUST BE BROUGHT WITHIN ONE (1) YEAR:
- Statute of limitations: 1 year from when claim accrues
- Claim accrues when Client knew or should have known of basis for claim
- Failure to bring claim within 1 year forever bars claim
- Applies to all claims regardless of legal theory
- Cannot be extended by discovery rule or delayed discovery
Shorter Than Florida’s General Statute:
- Florida’s general statute is 4-5 years depending on claim type
- This 1-year limit supersedes general statutes
- Parties agree to this limitation as material term
Exceptions:
- Claims that cannot be limited under applicable law
- Fraud claims discovered within 1 year of discovery (but no more than 3 years from occurrence)
12. ADDITIONAL TERMS
12.1 Independent Contractor Relationship
DVC is Independent Contractor:
- No employer-employee relationship exists
- No partnership, joint venture, or agency relationship
- DVC not authorized to bind Client or make commitments on Client’s behalf
- Each party responsible for own taxes and insurance
- No benefits, workers’ compensation, or unemployment insurance provided
12.2 Non-Solicitation
Client Agrees NOT to:
- Solicit, recruit, or hire DVC employees or contractors
- Encourage DVC personnel to terminate employment
- Engage DVC team members for independent services
- Assist third parties in recruiting DVC personnel
Duration: During term and for 2 years after termination
Liquidated Damages: $25,000 per solicited individual plus recruitment costs
12.3 Non-Disparagement
Mutual Non-Disparagement:
Neither Party shall:
- Make false, misleading, or negative public statements about the other
- Disparage other Party’s reputation, services, or personnel
- Post negative reviews containing false information
- Damage other Party’s business relationships
Duration: During term and for 3 years after termination
Exceptions:
- Truthful responses to direct questions
- Honest reviews if factually accurate and not malicious
- Statements required by law or legal proceedings
12.4 Entire Agreement
This Agreement Constitutes:
- Entire agreement between parties
- Supersedes all prior agreements, understandings, and communications
- May only be modified in writing signed by both parties
- Engagement Agreements supplement but do not replace these Terms
12.5 Severability
If Any Provision Deemed Invalid:
- Remaining provisions remain in full force
- Invalid provision reformed to minimum extent necessary
- Parties’ intent to be effectuated to maximum extent possible
12.6 Waiver
Failure to Enforce:
- Failure to enforce any provision is not a waiver
- Waiver of one breach is not waiver of subsequent breaches
- All waivers must be in writing
12.7 Assignment
DVC May Assign:
- This Agreement to affiliated entities
- This Agreement in connection with merger, acquisition, or sale
- Specific service delivery to qualified subcontractors
Client May NOT Assign:
- Without DVC’s prior written consent
- Assignment attempts are void
12.8 Force Majeure
Neither Party Liable for Delays Due to:
- Acts of God, natural disasters
- War, terrorism, civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Pandemics or public health emergencies
- Strikes or labor disputes
- Third-party platform failures
Effect:
- Performance obligations suspended during force majeure
- Parties will use reasonable efforts to minimize impact
- If force majeure exceeds 60 days, either party may terminate

14. ACCEPTANCE OF TERMS

- Allowing DVC to begin work on Client’s behalf
Client Acknowledges:
- Reading and understanding these Terms of Service
- Opportunity to consult with attorney before accepting
- Voluntary acceptance without duress or coercion
- Capacity and authority to enter binding agreement
